Terms of use

The rules for using Hubra, for clubs and for everyone with a Hubra account.

Draft, not yet legally reviewed. This text is a draft and does not apply yet. Hubra and a lawyer must review it before it is published. Passages marked in yellow are assumptions that still need to be confirmed. This English version is a translation; the German version prevails.

1. Scope

These terms apply to the use of Hubra at app.hubra.club, sso.hubra.club and manage.hubra.club and to the plugins from the Hubra marketplace. The provider is Mike Keller, Hubra, Grossfeld 17, 6423 Seewen, Switzerland ("Hubra", "we").

They cover two relationships:

  • between Hubra and clubs that run a club space ("club"), represented by the person who requested or manages the club;
  • between Hubra and people with a Hubra account ("you"), such as members of a club.

Where a club has agreed an offer with us, its terms take precedence. The data processing agreement also applies to the processing of member data.

2. Hubra account

  • You need a valid email address and must be at least 16 years old or have your parents' consent.
  • An account belongs to one person. Keep your details up to date and your credentials secret. We recommend a passkey or two-factor sign-in.
  • Tell us straight away if you think someone else is using your account.
  • Accounts are free. You can have yours deleted at any time (see the privacy policy).

3. Club space

  • A club requests its space at sso.hubra.club. We may decline a request without giving reasons. The contract starts when we open the space.
  • Whoever requests or manages a club confirms that the club has authorised them to do so.
  • The club decides who has which role and permissions in its space. It is responsible for the content in its space and for the lawful processing of its members' data, in particular for informing members and obtaining any consent.
  • Members join a club only through an invite or a join request. Clubs cannot create or change Hubra accounts.

4. Acceptable use

Hubra is meant for running clubs. In particular, you may not:

  • store or spread unlawful, defamatory, discriminatory or violent content;
  • send advertising or spam through Hubra, or mail people who have no relationship with the club;
  • test or circumvent Hubra's security, except under our security policy;
  • overload Hubra, scrape it automatically or access other clubs' data;
  • infringe the rights of others, such as copyright or personality rights.

If these rules are broken we may remove content and suspend accounts or club spaces. Where possible we warn first and give a chance to fix it.

5. Our service

  • We run Hubra on servers in Europe, install updates and security fixes and make encrypted backups every day.
  • We keep developing Hubra and features may change. If an essential feature a club uses is removed, we tell the club in good time.
  • Hubra is in its pilot phase. We aim for high availability but don't guarantee a specific level. We announce planned maintenance in the app.
  • We provide support by mail at [email protected], in German and English, usually within two working days.

6. Plugins

Clubs install plugins from the Hubra marketplace themselves. They are signed by us. Some plugins connect Hubra to third-party services (e.g. Discord or an external mailbox). Those services' terms apply, and the club decides whether to connect them. Some plugins may cost extra in the future; the price is shown before installation.

7. Prices and payment

Hubra accounts are free. Club spaces cost what our offer to the club says. Billed yearly in advance, payable within 30 days. Prices in Swiss francs; Hubra is not registered for VAT. During the pilot phase use may be discounted or free. We announce price changes at least two months in advance; the club may then terminate as of the date of the change.

8. Data

  • The data in a club space belongs to the club. We only use it to run Hubra for the club, as described in the data processing agreement.
  • The club can export its member list at any time. When the contract ends we help export further data.
  • Backups protect against data loss on our side. They don't replace the club's own exports if it must keep data longer.

9. Liability

We are liable for damage we cause intentionally or through gross negligence. Liability for slight negligence is excluded as far as the law allows, and for paid club spaces limited to the fees of the last twelve months. We are not liable for outages beyond our control (e.g. force majeure, third-party failures) or for content that clubs or members store. Liability for personal injury and under mandatory law is unaffected.

10. Term and termination

  • You can have your account deleted at any time.
  • A club can terminate its space at the end of any billing period with 30 days' notice. We can terminate with three months' notice, or immediately for good cause (e.g. a serious breach of section 4 or unpaid invoices after a reminder).
  • After the contract ends the club can export its data for 30 days. Then we delete the club space. The data is gone from backups after six months at the latest.

11. Changes to these terms

We may change these terms. We announce significant changes at least 30 days in advance by mail or in the app. Continuing to use Hubra means accepting the new version. Clubs may terminate before the change takes effect.

12. Governing law and jurisdiction

Swiss law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Schwyz, unless a mandatory place of jurisdiction applies, e.g. for consumers.
